Terms of Service

1. Acceptance of Terms

By accessing or using Plannza ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

Plannza is a cloud-based project management platform that enables teams to plan, track, and collaborate on work. Features include task management, sprints, kanban boards, time tracking, reporting, and integrations with third-party tools.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable.

3. Accounts and Registration

To use the Service you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and not share it with others
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 16 years of age to create an account. Accounts registered by automated means are prohibited.

4. Subscriptions and Billing

Certain features of the Service are available only through a paid subscription. By subscribing you agree to the following:

• Billing Cycle: Subscriptions are billed monthly or annually in advance.
• Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless cancelled.
• Price Changes: We will provide at least 30 days' notice before changing subscription prices.
• Refunds: Payments are non-refundable except where required by applicable law or as expressly stated in our refund policy.

All payments are processed via Stripe. Your payment details are stored securely by Stripe and are not accessible to Plannza.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit any content that is unlawful, harmful, defamatory, obscene, or invasive of privacy
• Impersonate any person or entity or falsely represent your affiliation
• Attempt to gain unauthorised access to the Service or related systems
• Introduce malware, viruses, or other malicious code
• Scrape, mine, or harvest data from the Service without written consent
• Use the Service to send unsolicited commercial communications (spam)
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate these provisions without notice.

6. Intellectual Property

Our IP: The Service, including all software, designs, text, graphics, and trademarks, is owned by Plannza and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without written permission.

Your Content: You retain ownership of all content you create or upload ("User Content"). By using the Service, you grant Plannza a limited, non-exclusive, royalty-free licence to host, store, and display your User Content solely to provide the Service.

You represent that you have the rights necessary to grant this licence and that your User Content does not infringe third-party rights.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

8. Third-Party Services

The Service may integrate with or link to third-party services (e.g. Stripe, GitHub, Slack). These integrations are provided for convenience. Plannza does not control third-party services and is not responsible for their content, availability, or practices.

Your use of third-party services is subject to those services' own terms and privacy policies.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Plannza and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to Plannza in the 12 months preceding the claim, or (b) £100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Plannza and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

Either party may terminate the relationship at any time. You may cancel your account through the account settings. We may suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, and indemnification) will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes we will provide at least 30 days' notice via email or an in-app notification.

Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
